Terms and conditions

Version 2.0 · last updated September 25, 2026

These terms and conditions apply to all services of WeArkMedia, registered with the Netherlands Chamber of Commerce under number 99429705, established in the Netherlands ("WeArkMedia", "we"). Contact: arkmedia25@gmail.com.

The terms consist of three parts: A. General (always applies), B. GEO-SEO Autopilot (the software) and C. Agency services (websites, GEO projects and custom work). Annex 1 is the data processing agreement.

A. General

Article 1 – Definitions

  • Customer: the natural or legal person who enters into an agreement with WeArkMedia or creates an account.
  • Business customer: a customer acting in the course of a trade, business or profession.
  • Consumer: a customer not acting in the course of a trade, business or profession.
  • Autopilot: WeArkMedia's online software that researches keywords, generates texts and publishes them at the customer's request.
  • Output: all texts, images, metadata and other content that the Autopilot or WeArkMedia creates for the customer.
  • Customer material: all data, texts, brands, access credentials and other information that the customer provides or connects.

Article 2 – Applicability

  1. These terms apply to every offer, every agreement and every use of the website, the free tools and the Autopilot.
  2. The customer's general terms and conditions do not apply unless WeArkMedia has accepted them in writing.
  3. If a provision turns out to be void or voidable, the remaining provisions continue to apply. The parties will then replace the provision with a valid one that comes as close as possible to the original intent.
  4. Our services are primarily intended for business customers. If the customer is a consumer, the mandatory rights granted to consumers by law also apply; these terms do not limit those rights.

Article 3 – Formation of the agreement

  1. An agreement is formed when an account is created, a trial is started, a subscription is taken out or a quotation is accepted in writing.
  2. Obvious errors or mistakes in prices, quotations or on the website do not bind WeArkMedia.
  3. WeArkMedia may refuse to open an account or accept an assignment without giving reasons, for example during the early access phase.

Article 4 – Customer obligations and warranties

  1. The customer provides accurate and complete information and keeps it up to date.
  2. The customer warrants that it is authorised to use the websites, accounts and integrations it provides, and that the customer material does not infringe any third-party rights.
  3. The customer keeps its login details, API keys and passwords confidential. Actions performed through its account are at the customer's expense and risk.
  4. The customer regularly makes its own backups of its website and content. WeArkMedia is not a backup service.

Article 5 – Acceptable use

The services may not be used for or in connection with:

  • content that violates the law, public order or morality, including hateful, discriminatory, violent, pornographic or misleading content;
  • spam, mass publication of content without added value, or manipulation of search engines in a way that breaches their guidelines;
  • infringement of intellectual property rights, privacy or other rights of third parties;
  • websites the customer does not own or is not authorised to manage;
  • medical, financial or legal advice published without review by a qualified expert;
  • circumventing security, usage limits or paywalls, reverse engineering, or automated scraping of the services;
  • activities that endanger the availability or security of the services or of other customers.

In the event of a (suspected) breach, WeArkMedia may block content, stop publication and suspend or terminate access immediately, without any obligation to pay compensation or refunds.

Article 6 – Intellectual property

  1. All rights to the software, the Autopilot, the free tools, templates, prompts, methods and the website of WeArkMedia remain with WeArkMedia or its licensors.
  2. To the extent that rights arise in the output, they transfer to the customer upon full payment. Until then, the customer has a right of use for the duration of the agreement.
  3. The customer grants WeArkMedia a non-exclusive right to use the customer material insofar as necessary to provide the services.
  4. WeArkMedia may use anonymised and aggregated data about the use of the services to improve them. Customer content is not made public or used as a reference without permission.

Article 7 – Confidentiality

The parties keep confidential information received from each other secret, also after the agreement ends. This does not apply to information that was already public or that a party must disclose by law or court order.

Article 8 – Prices and payment

  1. All prices are in euros and exclude VAT unless stated otherwise. Business customers in another EU member state with a valid VAT number are invoiced under the reverse-charge mechanism.
  2. Invoices are payable within 14 days of the invoice date, unless advance payment through a payment provider has been agreed for a subscription.
  3. In the event of late payment, a business customer owes the statutory commercial interest without notice of default, and WeArkMedia may suspend its services. Reasonable extrajudicial collection costs are borne by the customer; for consumers, the statutory scales apply.
  4. WeArkMedia may change prices with at least 30 days' notice. For a running subscription, a price increase only takes effect at the next renewal.

Article 9 – Liability

  1. WeArkMedia's total liability is limited to compensation for direct damage, up to a maximum of the amount the customer paid for the relevant service in the twelve months before the event causing the damage, and in any case up to a maximum of €5,000 per event. A series of related events counts as one event.
  2. WeArkMedia is not liable for indirect damage, including consequential damage, lost profit or revenue, missed savings, loss of or damage to data, reputational damage, damage due to business interruption, and damage caused by changes in rankings, traffic or mentions in search engines and AI systems.
  3. WeArkMedia is not liable for damage caused by (a) the content of output that the customer publishes or has published, (b) incorrect or incomplete information from the customer, (c) outages, changes or restrictions of third-party services such as hosting providers, CMS platforms, AI models and search engines, or (d) use in breach of these terms.
  4. The limitations in this article do not apply if the damage results from intent or deliberate recklessness on the part of WeArkMedia's management, nor to the extent that the law does not permit exclusion or limitation towards consumers.
  5. A claim for damages lapses if the customer does not report the damage in writing within 30 days of discovery, and in any case twelve months after the claim arose.

Article 10 – Indemnity

The customer indemnifies WeArkMedia against all third-party claims, including fines and reasonable legal costs, relating to the customer material, the output published by or on behalf of the customer, the customer's websites and integrations, or use in breach of these terms or the law.

Article 11 – Force majeure

WeArkMedia is not obliged to perform in the event of force majeure. This includes outages or changes at suppliers and platforms (including hosting, AI models, search engines and payment providers), internet and power failures, cyberattacks, illness and government measures. If force majeure lasts longer than 60 days, either party may terminate the agreement in writing without compensation.

Article 12 – Privacy

WeArkMedia processes personal data in accordance with the privacy policy. Insofar as WeArkMedia processes personal data on behalf of the customer, the data processing agreement in Annex 1 applies.

Article 13 – Changes to the terms

WeArkMedia may change these terms. We announce material changes at least 30 days in advance by email or in the Autopilot. If you do not agree, you may terminate the agreement as of the effective date of the change; continued use after that date constitutes acceptance of the amended terms.

Article 14 – Complaints

The customer reports complaints as soon as possible and no later than 14 days after discovery, by email with a clear description. We respond within 14 days. A complaint does not suspend the obligation to pay.

Article 15 – Governing law, disputes and language

  1. All agreements are governed exclusively by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  2. Disputes are submitted to the competent court in the district where WeArkMedia is established, unless mandatory law designates another court. Consumers may choose the court competent by law within one month after we have invoked this clause.
  3. These terms are translated into several languages. In the event of differences between versions, the Dutch text prevails.

B. GEO-SEO Autopilot

Article 16 – Account, early access and trial

  1. Access to the Autopilot requires an account. During the early access phase, WeArkMedia decides who receives access.
  2. A trial lasts 7 days, is free of charge and ends automatically. After it ends, generating and publishing stop until the customer takes out a subscription. The customer may continue to use output created during the trial.
  3. WeArkMedia may allow one trial per customer.

Article 17 – Subscription, term and cancellation

  1. A subscription applies per website and is entered into for one year, with the annual fee paid in advance.
  2. For business customers, the subscription is tacitly renewed for successive periods of one year, unless it is cancelled no later than one month before the end of the current term.
  3. For consumers, after the first year the subscription continues for an indefinite period with a notice period of no more than one month.
  4. A launch price remains valid as long as the subscription continues without interruption.
  5. Amounts already paid are not refunded if the customer terminates early, except where the law provides otherwise or where WeArkMedia terminates the agreement without the customer being in breach; in that case we refund the prepaid amount for the remaining period pro rata.
  6. Consumer right of withdrawal: a consumer may withdraw from the subscription within 14 days of entering into it without giving reasons. If the consumer expressly asks for the service to start immediately, the consumer pays a proportionate amount for the period during which the service has already been provided.

Article 18 – Usage limits

  1. The subscription includes the features and limits shown on the pricing page at the time of subscribing, including a maximum of 7 articles per week per website.
  2. WeArkMedia may apply reasonable technical limits (for example on the number of analyses per day) to prevent misuse and keep the service available to all customers.

Article 19 – AI-generated content

  1. The Autopilot creates output using third-party AI models. Output may contain inaccuracies, outdated information, omissions or unintended similarities to existing texts.
  2. The customer is responsible for reviewing output before publication and for everything that appears on its website, including when automatic publishing is switched on. Topics concerning health, finance, law and safety require review by a qualified expert.
  3. WeArkMedia gives no guarantee of search engine rankings, traffic, conversions, revenue or mentions in AI systems such as ChatGPT, Perplexity or Gemini. Search engines and AI systems determine their own results and change their methods without notice.
  4. References to sources and external websites in the output are indicative; the customer checks whether they are correct and appropriate.

Article 20 – Connections with websites and platforms

  1. The customer connects its own website or CMS (such as WordPress, Shopify, Ghost or Webflow) and provides access credentials with the most limited rights possible.
  2. WeArkMedia stores access credentials encrypted and uses them solely to publish output and test the connection.
  3. WeArkMedia is not responsible for the operation, changes or restrictions of third-party platforms, nor for the consequences of publications on the customer's website.

Article 21 – Availability and maintenance

WeArkMedia makes reasonable efforts to keep the Autopilot available but does not guarantee uninterrupted or error-free operation. We may temporarily interrupt the service for maintenance, change or improve features, and discontinue parts that are not essential to the customer.

Article 22 – Suspension, termination and data

  1. WeArkMedia may suspend access or terminate the agreement with immediate effect in the event of non-payment, a breach of article 5, or any other serious breach by the customer.
  2. After the agreement ends, the customer can export its output for 30 days. After that, WeArkMedia deletes the customer's data, unless a statutory retention obligation applies. Articles already published remain on the customer's website.

C. Agency services

Article 23 – Quotations and performance

  1. Quotations are valid for 30 days. Scope, planning and price are set out in the quotation or order confirmation; changes require written agreement and may lead to additional work.
  2. Stated deadlines are target dates, not strict deadlines. A delay only entitles the customer to terminate after it has given WeArkMedia a reasonable period in writing.
  3. The customer provides all necessary information, content and access in good time. Delays caused by the customer shift the planning and may lead to additional costs.

Article 24 – Payment and delivery

  1. Unless agreed otherwise, WeArkMedia invoices 50% upon assignment and 50% upon delivery.
  2. The customer assesses a delivery within 14 days. Without a reasoned rejection within that period, or upon use, the delivery is deemed accepted. Minor defects that do not prevent use do not stand in the way of acceptance.
  3. Rights to the work only transfer after full payment (article 6). WeArkMedia may mention the project as a reference unless the customer objects in writing.

Annex 1 – Data processing agreement

This annex applies when WeArkMedia, in providing the services, processes personal data on behalf of the customer, in particular personal data contained in customer material, on the customer's website or in integrations.

  1. Roles. The customer is the controller; WeArkMedia is the processor within the meaning of the GDPR.
  2. Subject and purpose. WeArkMedia processes personal data solely to provide the services and only on the basis of the customer's written instructions, including the settings the customer chooses in the Autopilot.
  3. Categories. This usually concerns contact and business details shown on the customer's website and account details of the customer's staff. The customer does not enter special categories of personal data into the services.
  4. Sub-processors. The customer gives general authorisation for the sub-processors listed in the privacy policy. WeArkMedia informs the customer in advance of new sub-processors; the customer may object on reasonable grounds within 14 days and, if no solution is found, terminate the agreement. For transfers outside the EEA, WeArkMedia ensures appropriate safeguards such as standard contractual clauses.
  5. Security. WeArkMedia takes appropriate technical and organisational measures, including encrypted connections (TLS), encrypted storage of access credentials (AES-256-GCM), per-customer access separation at database level (row-level security), database hosting in the EU (Frankfurt) and limited staff access.
  6. Confidentiality. Persons with access to personal data on behalf of WeArkMedia are bound by confidentiality.
  7. Data breaches. WeArkMedia notifies the customer of a personal data breach without undue delay and, where possible, within 48 hours of discovery, with the information the customer needs for any notification.
  8. Assistance. WeArkMedia assists the customer within reasonable limits with data subject requests and data protection impact assessments. Work beyond what is reasonable may be charged at the applicable rates.
  9. End. After the agreement ends, WeArkMedia deletes the personal data within 30 days, unless a statutory retention obligation applies.
  10. Audit. On request, WeArkMedia provides the information needed to demonstrate compliance. An on-site audit is possible after reasonable notice, at most once a year and at the customer's expense.
  11. Liability. The limitation of liability in article 9 applies to this annex.
